How these documents work
A quotation, individual agreement and product-specific terms prevail where they address the same matter. Nothing in these documents limits mandatory statutory rights. Contact us before contracting if anything is unclear.
01Scope and acceptance
These Terms govern websites, cloud systems, support, demonstrations and other digital services provided by KOMORI株式会社. Contracting occurs when a quotation is accepted, an agreement is signed, or registration is completed with express acceptance of the applicable documents.
02Document precedence
If documents conflict, the order is: individual agreement; accepted quotation or order; product-specific terms; these Terms; sales materials and guides. Advertising and demonstrations explain the service but do not replace the contracted scope.
03Accounts, users and authority
The customer appoints authorized administrators, keeps records current and controls access to each feature. Komori may request identity or authority verification before sensitive changes.
Each user must use their own account; password sharing is prohibited.
Suspected unauthorized access must be reported immediately.
04Komori commitments
Komori will provide the service within the accepted scope, apply reasonable safeguards, maintain a support channel, and communicate material maintenance and incidents as appropriate and required by law.
05Customer responsibilities
The customer is responsible for the legality and accuracy of submitted data, permission settings, user instructions and use in accordance with law, contract and the stated business purpose.
06Data, ownership and confidentiality
The customer retains rights in submitted data. The customer authorizes Komori and contracted providers to process it only as needed to provide, protect, maintain and improve the contracted service, follow documented instructions and comply with law.
Each party must protect the other party’s confidential information and use it only for the contractual relationship unless authorized or legally required.
07AI-assisted support
AI features, including support assistants, help find information, explain screens and prepare answers. They do not replace human judgment in legal, medical, financial, disciplinary or safety matters. Material answers must be confirmed by the user or responsible team.
Do not enter unnecessary sensitive data, passwords or third-party secrets into chat.
Komori must limit agent context and permissions to the product and user being assisted.
08Availability, maintenance and support
Komori seeks reliable availability but does not promise uninterrupted operation unless a written SLA applies. Planned maintenance will be announced when reasonably possible. Emergency interruption may occur to protect data, users or infrastructure.
09Fees, tax and renewal
Fees, tax, setup, included allowances, adjustments, due dates and renewal terms appear in the quotation, order or Specified Commercial Transactions disclosure. Before confirmation, the customer must be able to review the total and applicable conditions.
10Prohibited use and proportionate suspension
The service may not be used to violate rights, commit fraud, access accounts without authorization, transmit malware, test vulnerabilities without permission, disrupt service or process unlawfully obtained data.
User content (messengers and chats such as KOCHAT): zero tolerance for objectionable or abusive content — harassment, threats, hate speech, sexual content, scams, spam or any unlawful content. Any user can report messages and people and block anyone; Komori reviews every report within 24 hours and removes the content and/or suspends the responsible account.
Suspension will be limited to what is necessary and, except for urgency, security risk, legal order or material nonpayment, Komori will explain the reason and allow a reasonable opportunity to cure.
11Cancellation, export and deletion
Cancellation and refunds follow the quotation, contract and Specified Commercial Transactions disclosure. Where technically available and requested before termination, the customer may receive a reasonable data export. After contractual or statutory retention periods, data will be securely deleted or anonymized.
12Balanced liability
Each party is responsible for direct loss caused by its breach to the extent provided by contract and law. Nothing excludes Komori’s liability for intent or gross negligence or restricts rights that Japanese law does not permit to be restricted. Indirect loss and specific caps are addressed in the contract according to service risk.
13Fees, terms and charges in figures
The conditions below appear in the individual agreement and are reproduced here so the customer knows them before contracting, not only at signature.

14Intellectual property and shared reuse
Content and data entered by the customer belong to the customer. The system, source code, frameworks and general-purpose components developed or maintained by KOMORI remain owned by KOMORI, which may reuse them in other projects.
Code exclusivity, source code delivery or assignment of rights are not automatic: they must be expressly contracted and stated in the individual agreement.
15Customer data and backup responsibility
This is a point where expectation often differs from the contract, so we state it plainly.
The customer is responsible for the content, accuracy and legality of the data entered.
KOMORI does not perform or guarantee individual backup on the customer behalf. The copies we keep exist to recover the platform.
The customer must export and keep their own data at any time using the export function available in the system.
16Force majeure and assignment
Neither party is liable for delay or failure to perform due to force majeure, such as natural disaster, war, epidemic, legislative change, power or telecommunications interruption, and failure of upstream providers we depend on.
The customer may not assign, transfer or pledge its contractual position, in whole or in part, without prior written consent from KOMORI.
17Exclusion of antisocial forces
Each party represents and warrants that it, including its officers and employees, is not and has no relationship with criminal organizations, their members or other antisocial forces.
18Governing law and dispute resolution
Japanese law applies. If a dispute arises, the parties will first seek a good-faith solution through the support channel and contractual contacts. If unresolved, jurisdiction lies with a court competent under Japanese law or validly agreed in the individual contract, without limiting mandatory consumer rights.
19Changes and contact
Material changes will be announced with reasonable advance notice and an effective date. If a change materially affects an existing service, Komori will explain the impact and available options. The Japanese version is the reference text; translations are provided to aid understanding.
