「服务使用条款」

01 适用范围与接受条款

本条款适用于 KOMORI株式会社 提供的网站、云系统、支持、演示及其他数字服务。当报价单被接受、协议签署或注册完成并明确接受适用文件时，合同即告成立。

02 文件优先顺序

若文件内容存在冲突，优先顺序依次为：个别协议；已确认的报价单或订单；产品特定条款；本条款；销售资料及指南。广告和演示旨在说明服务内容，但不能替代合同约定的范围。

03 账户、用户与权限

客户应指定经授权的管理员，保持记录最新，并控制对各功能的访问权限。在进行敏感变更前，Komori 可能会要求验证身份或权限。

• 每位用户必须使用自己的账户；禁止共享密码。
• 疑似未经授权的访问必须立即报告。

04 Komori 的承诺

Komori 将在已确认的范围内提供服务，采取合理的安全保障措施，维护支持渠道，并根据情况以及法律要求，通知重大的维护事项和事件。

05 客户责任

客户对提交数据的合法性与准确性、权限设置、用户指示以及按照法律、合同和既定业务目的的使用承担责任。

06 数据、所有权与保密

客户保留提交数据的所有权。客户授权 Komori 及签约服务商仅在提供、保护、维护和改进合同服务、遵循书面指示以及遵守法律所需的范围内处理这些数据。

各方必须保护另一方的机密信息，除非获得授权或法律要求，否则仅用于合同关系。

07 AI assistance and processing

KOMORI operates KOIA, its own AI infrastructure. External processing also exists: the operational configuration includes Anthropic (Claude), OpenAI (Codex) and Z.ai, depending on the feature and engine used. Prompts, attachments and necessary context may be processed by that engine; do not assume all AI processing stays within KOIA. Software supporting a user-configured provider is also subject to that provider’s terms. Do not submit passwords, secrets or unnecessary personal data. Contact DX Department before use with questions about processing and the applicable provider. AI responses can be wrong and require human review, particularly for legal, financial, medical, employment or safety decisions. For 3D or texture generation, Meshy may also process prompts and files when that engine is used.

08 可用性、维护与支持

Komori 致力于提供可靠的可用性，但除非适用书面 SLA，否则不保证不间断运行。在合理可行的情况下，计划维护将提前通知。为保护数据、用户或基础设施，可能会发生紧急中断。

09 Free, paid services, tax and renewal

Free and paid features and limits depend on the product, platform and contract. Free does not automatically convert into a paid subscription. Stripe processes web payments where offered; available methods are those shown at checkout. Japanese consumption tax is 10% where applicable, with the base amount, tax and total shown before confirmation. Pricing, billing interval, automatic renewal, cancellation deadline and method are set out in the offer and commercial transaction disclosure. Purchases and subscriptions actually offered through App Store/Google Play are also subject to store terms. Web plans are not necessarily purchasable or entitled identically in every store build. Individually negotiated business terms, including duration and termination, apply only to the relevant contract.

10 禁止行为与按比例暂停服务

禁止利用本服务侵犯权利、实施欺诈、未经授权访问账户、传输恶意软件、未经许可测试漏洞、干扰服务或处理非法获取的数据。

用户内容（如 KOCHAT 等即时通讯和聊天工具）：对令人反感或滥用内容零容忍——包括骚扰、威胁、仇恨言论、色情内容、诈骗、垃圾邮件或任何非法内容。任何用户均可举报消息和人员并屏蔽任何人；Komori 将在 24 小时内审查每份举报，并删除相关内容和/或暂停相关账户。

暂停服务将仅限于必要范围，除紧急情况、安全风险、法律命令或重大未付款外，Komori 将说明原因并给予合理的补救机会。

11 Cancellation and account deletion

Uninstalling an app does not delete the account or cancel a subscription. Use the product’s account deletion option or contact DX Department, subject to identity verification. Cancel subscriptions through the purchase channel (web portal or store subscription management where applicable). Account deletion, closing a company workspace and deleting shared messages are separate operations. Tax records, contracts, security history and records involving other people may be retained for applicable legal or contractual periods; other data is deleted or anonymized through the product’s process. Backups are not rewritten instantly and remain subject to retention cycles and restricted access. No single deletion deadline is promised for every product. Request any available export before closure.

12 平衡的责任分担

各方应根据合同和法律的规定，对其违约造成的直接损失承担责任。本条款不排除 Komori 因故意或重大过失应承担的责任，也不限制日本法律不允许限制的权利。间接损失和具体上限将根据服务风险在合同中规定。

13 费用、期限及数字列示的费用

The numeric conditions below belong to business contracts that expressly provide for them, rather than every Free plan or standard subscription. Consumption tax is 10% where applicable. Review the offer and contract before confirming.

14 知识产权与通用组件复用

客户输入的内容和数据归客户所有。由 KOMORI 开发或维护的系统、源代码、框架和通用组件仍归 KOMORI 所有，KOMORI 可在其他项目中复用这些组件。

代码的独占使用权、源代码的交付或权利转让并非自动生效：必须在个别协议中明确约定并载明。

15 客户数据与备份责任

此条款常因期望与合同内容不符而产生分歧，故在此明确说明。

• 客户须对输入数据的内容、准确性及合法性负责。
• KOMORI 不代客户执行或保证个别备份。我们保留的副本仅用于平台恢复。
• 客户必须随时使用系统提供的导出功能自行导出并保管其数据。

16 不可抗力与合同地位转让

任何一方均不对因不可抗力（如自然灾害、战争、疫情、法律变更、电力或电信中断以及我们依赖的上游服务商故障）导致的履行延迟或不能承担责任。

未经 KOMORI 事先书面同意，客户不得全部或部分转让、转移或质押其合同地位。

17 排除反社会势力

各方声明并保证，其自身（包括董事和员工）不属于暴力团、暴力团成员或其他反社会势力，且与此类势力无任何关系。

18 适用法律与争议解决

适用日本法律。若发生争议，双方应首先通过支持渠道和合同联系人寻求诚信解决。若无法解决，管辖权属于日本法律下有管辖权的法院或个别协议中有效约定的法院，但不限制法律强制规定的消费者权利。

19 条款变更与联系方式

重大变更将提前合理时间通知并标明生效日期。若变更对现有服务产生重大影响，Komori 将说明影响及可用选项。日文版本为基准文本；翻译版本仅供理解参考。
